USER LICENSE AGREEMENT

You are advised to carefully read and understand all the rights and limitations as contained in the User License Agreement (hereinafter referred to as “the Agreement”) before using New Rock products and related software services.
I. About Us
New Rock products and related software services (hereinafter referred to as the “Services”) are provided by New Rock Technologies, Inc. (hereinafter referred to as “New Rock” or “we” or “us”). The captioned terms “you” or “user(s)” in the Agreement refer to any such natural or legal person or other organizational institution that uses the Services.
II. Purposes
In reference to the Agreement, you will understand the models of the Services to be provided to you, the expectations of New Rock for the users, actions permitted and prohibited under the Agreement, countermeasures against issues, and other important information.
III. Acceptance

Read the Agreement carefully. By using the Services, you are deemed to have consented to and accepted the Agreement. Please stop using the Services if you refuse and disagree to the Agreement. Should you have any doubt as to the Agreement, you may contact us in the manner as set forth below.

IV. About the Services
The Services offer New Rock products and related software services, including but not limited to traversal services and remote support services.
The intellectual property rights related to the Agreement (including all copyrights, patents, and trademarks as referred to in the Agreement) belong to New Rock.
Any user license agreement and privacy policy with respect to third-party software products as contained in the Agreement are provided by third-party companies. You are advised to determine whether to accept before use.
Traversal services mean any New Rock product that is used to detect and connect to New Rock products in various networks that are in compliance with the traversal connection protocol.
Remote support means remote maintenance and management of New Rock products through New Rock cloud services or network management.
V. Service User Security
You shall be required to keep safe the Web login account and password of your New Rock products, as well as SIP registration account and password. It is strongly recommended that you shall change the initial password to any password that has a higher security level before officially using the New Rock products. You are responsible for safeguarding your password security and not permitted to share such information with any other person, in which case, any loss and liability resulting from your provision of account information to any third party shall be borne by you at your own expense. In connection with traversal services, you shall be required to keep safe the “secure access codes” and “registrar for external terminal” of traversal services of your New Rock products. You are responsible for securing information regarding your traversal service access and not permitted to share such information with any other person, in which case, any loss and liability resulting from your provision of account information to any third party shall be borne by you at your own expense.
In addition, you shall be required to ensure that the router that provides a network for New Rock products enjoys stricter security precautions and is configured to a higher security level (in which case, no traversal services shall be accessed if the NAT type of this router is Full Cone). You shall be liable for any loss and liability arising from network router security.
In connection with remote support services, you shall be required to set the IP address list for the purposes of security access on the cloud platform and close remote support when it is done.
VI. Usage Rules
You undertake and agree to lawfully use the Services in accordance with the Agreement, and promise not to engage in any following activity:
(I) to duplicate or alter the contents of the Services in whole or in part, or enable the Services or any part thereof to be merged with or consolidated to any other programs;
(II) to access or attempt to access any part that causes damages to the Services or related system or network without any authorization;
(III) to decompose, decode, or reverse-engineer the Services or any part thereof, or derive any product from the Services or any part thereof, or attempt to engage in any analogous activity that is prohibited by laws;
(IV) to access the Services or any part therefore for any illegal purpose, in any unlawful manner, or in breach of the Agreement, or carry out any fraudulent or other malicious action, including but not limited to intrusion to the Services or websites linked to the Services or any operating system, or implant malicious codes (including viruses or harmful data);
(V) to collect the information about users under the Agreement, or use other means to gain access to the Services, or attempt to decrypt or extract any content transmitted via the server that operates the Services;
(VI) to ask for individual security information or access others’ accounts;
(VII) to damage, disable, impair, or threaten the Services when using the same, or overload the Services or interfere other users, or intrude or gain unauthorized access to the Services or data.
VII. Privacy and Data Collection
Traversal services mean any New Rock product that is used to detect and connect to New Rock products in various networks that are in compliance with the traversal connection protocol. To achieve these functions, traversal services require collection and utilization of the following information regarding you in due course:
- Equipment and network information, including equipment labeling and MAC addresses;
- Equipment information about traversal service accesses, including “secure access codes” and “registrar for external terminal” of traversal services;
Your disagreement to our collection of the aforesaid information may result in abnormal operation of traversal services. If you wish to terminate collection and processing of the aforesaid information wherever required, you may turn off traversal services on the web management interface on the equipment.
Remote support services require collection and utilization of the following information regarding you in due course:
- Equipment information, including equipment labeling and MAC addresses;
- Equipment network connection information;
- Equipment software version information;
Your disagreement to our collection of the aforesaid information may result in abnormal operation of remote support services. If you wish to terminate collection and processing of the aforesaid information wherever required, you may turn off remote support services on the web management interface on the equipment.
VIII. Disclaimer
The Services may be interrupted or interfered within any unspecified timeframe due to uncontrollable reasons arising in due course. New Rock will not be liable for any claim arising from (or incidental to) the aforesaid interruption, interference, or analogous failure.
To the extent as permitted by applicable laws within the jurisdiction where you reside, New Rock will not be responsible for any liability, loss, damage, or compensation arising from the inability of you or any other person to access or access the Services due to the following reasons:
(I) The Services cease or terminate due to New Rock’s maintenance or upgrade of the Services;
(II) The system or network communications that are not owned or controlled by New Rock experience any failure;
(III) Any error or disruption takes place due to hacker attack or analogous security impacts;
(IV) Other reasons beyond reasonable control by New Rock.
The Services are provided on an “as is” and “existing” basis without any form of guarantee or endorsement. To the extent as permitted by applicable laws within the jurisdiction where you reside, New Rock has never provided any guarantee, condition, or other agreement, whether implied or express, nor have any such guarantee, undertaking, statement, or assurance that:
(I) whether there is any defect, error, virus, vulnerability, or other harmful element pertaining to the Services or the server that performs the Services;
(II) whether there is any remedy to the defects in the operation or functions of the Services;
(III) whether the Services are safe and free from any error;
New Rock will not be responsible for any liability as to any loss or damage arising from your access to the Services.
Your sole remedy is to stop the access to the Services when you feel dissatisfied at the Services in any aspect.
IX. Termination by You
You may turn off the Services on the web management interface of the equipment.
X. Termination or Cessation by New Rock
We may at any time terminate, cancel or limit your access to the Services in whole or in part on a temporary or permanent basis in accordance with the applicable laws, and disclaim any liability for any individual or third party. We will serve a notice to you on a best endeavor basis prior to taking the aforesaid actions. In case of any following circumstances, we may forthwith terminate, cancel or limit your access to the Services in whole or in part on a temporary or permanent basis without prior notice being served to you:
(I) where you contravene, or in the reasonable opinion of New Rock, are about to contravene the Agreement, including any agreement, policy, or guidelines;
(II) where you are engaged in fraudulent or illegal activities;
(III) where actions are taken in response to the requirements made by law enforcement or government institutions in accordance with the effective legal procedures;
(IV) where emergent system or hardware maintenance or upgrade is carried out; and
(V) where any unexpected technical, security, or business cause takes place.
XI. Amendments to the Agreement
New Rock may at any time amend the Agreement and announce the specific provisions, code of conduct, or guidelines with respect to the Services in whole or in part, in which case, you shall regularly check for the version as only the latest version will apply.
Where any significant amendment affects your rights or obligations, we will serve a notice to you in a reasonable manner, which, however, may not be delivered to you.
By continuing to access the Services upon the amendments taking effect, you are deemed to have accepted the aforesaid amendments. In case that you disagree to such amendments, you shall forthwith cease to use the Services. None of your revision, alteration, or amendment to the Agreement will constitute any legal binding effect on New Rock.
XII. General, Governing Laws, and Settlement of Disputes
Disclaimers, limitation of liability, and exemption as contained in the Agreement shall indefinitely survive from the expiration or termination thereof.
The Agreement is governed under the laws of the People’s Republic of China without any alternative laws.
Any dispute arising from the performance of the Agreement shall be resolved by both parties hereto through negotiation, failing at which, both parties hereto shall and is only permitted to initiate litigation before the people’s court with the jurisdiction for settlement.
